Terms of Service

Please read these Terms of Service ("Terms") carefully before using the CultureIQ Labs website (cultureiqlabs.com), platform (app.cultureiqlabs.com), or purchasing any of our services or digital products. By accessing or using any CultureIQ Labs service, you agree to be bound by these Terms.

These Terms constitute a legally binding agreement between you (or the organization you represent) and CultureIQ Labs ("we," "us," or "our"). If you do not agree to these Terms, please do not use our services.

CultureIQ Labs provides organizational culture consulting, leadership development, psychological safety assessment, return-to-work (RTW) culture integration, and digital learning resources. Our services fall into three categories:

Consulting & Advisory

Custom engagements including culture assessments, leadership coaching, RTW program design, and strategic advisory. Specific scope, deliverables, timelines, and fees for consulting engagements are outlined in a separate Statement of Work (SOW) or Client Agreement, which forms part of these Terms.

Platform & Digital Learning

Access to app.cultureiqlabs.com, including the A.R.T. Leadership Certification, Psychological Safety Assessment tools, RTW Culture modules, and CSA Z1003 Compliance tracking. Platform access is governed by the subscription tier selected at purchase.

Digital Products

Downloadable resources including playbooks, toolkits, trend reports, and research summaries available for individual or organizational purchase.

Account Registration

To access the CultureIQ Labs platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at privacy@cultureiqlabs.com of any unauthorized use.

Subscription Tiers

Platform access is provided on a subscription basis. Features available to you depend on your selected tier:

Full feature details for each tier are available at cultureiqlabs.com/pricing. CultureIQ Labs reserves the right to modify tier features with reasonable notice.

Authorized Users

Your subscription grants access to the number of users specified in your plan. You are responsible for ensuring all authorized users comply with these Terms. You may not share account credentials or exceed your licensed user count.

Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice and will make reasonable efforts to minimize disruption. We are not liable for downtime beyond our reasonable control.

Data Ownership

You retain ownership of all data your organization uploads to or generates through the platform. We process your data solely to deliver the services as described in our Privacy Policy and Data Processing Agreement. Upon termination, your data will be returned or deleted per the terms of your Data Processing Agreement.

Our Property

The CultureIQ Labs website, platform, and all original content — including but not limited to the A.R.T. Framework™ (Acknowledge, Reclaim, Thrive), survey methodologies, assessment instruments, course materials, reports, brand assets, and blog content — are the exclusive intellectual property of CultureIQ Labs and Meagan Victoria Angelucci.

These materials are protected by Canadian and international copyright, trademark, and other intellectual property laws. No content may be reproduced, distributed, modified, publicly displayed, or used to create derivative works without our express prior written permission.

Limited License to You

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform and any purchased digital products solely for your internal organizational purposes.

Restrictions

• You may not resell, sublicense, or redistribute any CultureIQ Labs materials or platform access
• You may not reverse engineer, decompile, or attempt to extract source code from the platform
• You may not use our content or methodologies to build a competing product or service
• You may not remove or alter any proprietary notices, trademarks, or branding
• Assessment instruments and scoring methodologies may not be replicated or adapted without written consent

Your Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback for any purpose without obligation or compensation to you.

Research & Evidence Base

Our services are grounded in a synthesized evidence base of peer-reviewed research. References to third-party research remain the property of their respective authors and publishers. CultureIQ Labs' unique synthesis, application, and frameworks built on this research are our exclusive intellectual property.

Fees

Fees for platform subscriptions are as listed at cultureiqlabs.com/pricing at the time of purchase. Fees for consulting engagements are set out in the applicable SOW or Client Agreement. All fees are in Canadian dollars (CAD) unless otherwise stated.

Billing

Platform subscriptions are billed on the cycle selected at purchase (monthly or annual). Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees when due. You are responsible for keeping your billing information current.

Taxes

Fees are exclusive of applicable taxes. You are responsible for all taxes associated with your purchase, including GST/HST where applicable. CultureIQ Labs will collect and remit taxes as required by Canadian law.

Price Changes

We reserve the right to change subscription pricing with a minimum of 30 days' written notice. Price changes take effect at the start of your next billing cycle following the notice period. Your continued use of the platform after a price change constitutes acceptance of the new pricing.

Failed Payments

If a payment fails, we will notify you and attempt to process the payment again. If payment remains outstanding after 7 days, we may suspend access to the platform until payment is received. Repeated failed payments may result in account termination.

Platform Subscriptions

Monthly subscriptions may be cancelled at any time. Your access continues until the end of the current billing period. No refunds are issued for the unused portion of a monthly subscription.

Annual subscriptions may be cancelled at any time. If cancelled within 14 days of the annual renewal date, a pro-rated refund for unused full months will be issued. Cancellations after 14 days of renewal are non-refundable for that annual period.

Digital Products

All sales of digital products are final and non-refundable due to the immediate downloadable nature of these products. Please review product descriptions carefully before purchase. If you experience a technical issue preventing access to a purchased product, contact us within 7 days at privacy@cultureiqlabs.com and we will resolve the issue or issue a credit.

Consulting Engagements

Cancellation and refund terms for consulting engagements are governed by the applicable SOW or Client Agreement. Where no specific terms are stated, the following apply:

• Cancellation with more than 14 days' notice: full refund of any deposit
• Cancellation with 7–14 days' notice: 50% of the engagement fee is due
• Cancellation with less than 7 days' notice: 100% of the engagement fee is due

How to Cancel

Platform subscriptions can be cancelled through your account settings or by contacting privacy@cultureiqlabs.com. Consulting engagement cancellations must be submitted in writing to the same address.

You agree to use CultureIQ Labs services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform or services in any way that violates applicable federal, provincial, or local laws or regulations
• Use assessment data or platform outputs to discriminate against, retaliate against, or harm employees
• Attempt to re-identify individual employees from aggregated or anonymized assessment reports
• Upload or transmit harmful, offensive, or unlawful content through the platform
• Attempt to gain unauthorized access to any part of the platform or its related systems
• Use automated tools to scrape, copy, or extract data from the platform
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the platform

We reserve the right to suspend or terminate access for any violation of these acceptable use provisions without notice.

In the course of our engagement, each party may receive confidential information belonging to the other. Both parties agree to:

• Keep confidential information strictly confidential and not disclose it to third parties without prior written consent
• Use confidential information only for the purposes of the engagement
• Apply at least the same degree of care to protect confidential information as applied to their own confidential information

Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law or regulatory authority.

Our handling of your personal and organizational data is further governed by our Privacy Policy and, where applicable, a Data Processing Agreement.

No Guarantee of Outcomes

CultureIQ Labs uses evidence-based methodologies developed from peer-reviewed research. However, we do not guarantee specific business outcomes, improvements in psychological safety scores, reductions in disability claims, or any other particular results from engagement with our services. Outcomes depend on many organizational factors outside our control.

Platform "As Is"

The platform is provided on an "as is" and "as available" basis. We make no warranty that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We disclaim all warranties, express or implied, to the fullest extent permitted by applicable law.

To the fullest extent permitted by applicable law, in no event shall CultureIQ Labs, its principals, employees, contractors, or agents be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from your reliance on our services, platform, or digital products
• Damages arising from unauthorized access to or alteration of your data
• Damages arising from any third-party conduct or content

In all cases, our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you to CultureIQ Labs in the 12 months preceding the claim, or (b) CAD $500.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CultureIQ Labs and its principals, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to our services or platform
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Your misuse of assessment data or platform outputs, including any use for disciplinary, discriminatory, or retaliatory purposes
• Your failure to obtain required consents from your employees prior to their participation in assessments

Our website and platform may contain links to or integrations with third-party websites or services, including Microsoft 365 Bookings, Stripe, and others. These third-party services are not owned or controlled by CultureIQ Labs. We assume no responsibility for the content, privacy policies, terms, or practices of any third-party services.

We encourage you to review the terms and privacy policies of any third-party services you access through or alongside our platform. Your use of third-party services is entirely at your own risk.

Term

These Terms are effective from the date you first access our services and remain in effect until terminated by either party.

Termination by You

You may stop using our services and close your account at any time. Platform subscription cancellation terms are set out in Section 5.

Termination by Us

We reserve the right to suspend or terminate your access to the platform or any service immediately and without notice if we determine that you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to our platform, other users, or third parties.

We may also terminate your access with 30 days' written notice for any other reason, in which case we will provide a pro-rated refund for any prepaid unused subscription period.

Effect of Termination

Upon termination, your license to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — shall survive.

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to the exclusive jurisdiction of the courts of Quebec.

We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date, and where appropriate, by direct notification to active clients or subscribers.

Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our services and cancel any active subscriptions.
